01Privacy Policy

Who We Are

Run The Seas Inc. ("Run The Seas," "we," "us," or "our"), of St. Albert, Alberta, Canada,is the organization responsible for the personal information collected through this Site.CanMedia Inc. provides operational, technical and administrative services in relation to the Site on behalf of Run The Seas Inc., and handles personal information only for that purpose and on our instructions.

We have designated a Privacy Officer who is accountable for our compliance with this Privacy Policy and with applicable privacy legislation. Categories of Personal Data We Collect

Depending on how you interact with the Site, we may collect: identity and contact data (name, email address, Founding Runner Numberr); survey responses and preferences; referral and account activity data (QR code and link usage, verified referrals, ranking and trophy status); basic technical data (browser type, device information, approximate location based on IP address); and cookie data as described in our Cookie Policy; your communication preferences, including whether you have consented to receive marketing messages from us; if you enter or win one of our Draws, the contest and prize information described under "Contest, Prize and Tax Information" below; where you choose to complete our optional programme questionnaire, your responses to it; and your views on the value or pricing of a proposed voyage, including any response you give before a price is shown to you and any subsequent revision of that response.

How We Use Your Information

We use this information to operate and improve the Site, respond to inquiries, administer the survey, the optional programme questionnaire, the Founding Runner Program, and the 42.2K Referral Marathon Challenge, understand demand and pricing expectations for a proposed voyage, detect and prevent fraudulent referrals, and, where you have given us your express consent, send you commercial electronic messages containing updates about the Run The Seas™ concept. We use automated tools to detect duplicate, self-referred and fraudulent referral activity. Where such a tool identifies activity that could result in the cancellation of a Cruise Credit, an adjustment to your referral count, or disqualification from a Draw, a representative of Run The Seas Inc. will review the matter before a final decision is taken. If a decision of that kind is made about you, we will inform you of the principal factors that led to it, and you may submit observations or ask us to reconsider.

Information Sharing

We do not sell your personal information. We may share limited information with service providers who help us operate the Site (such as hosting, email, and survey platform providers), or where required by law. When approaching or negotiating with a cruise line, charter consultancy or other prospective partner, we may share aggregate and de-identified information concerning survey participation and demand, such as the total number of Founding Runners or the general distribution of stated cabin and itinerary preferences. Information of this kind does not identify you.

We will not disclose your name, email address or any other information that identifies you personally to a cruise line, charter consultancy or booking partner unless you have consented to that disclosure, or the disclosure is otherwise permitted or required by law. Where you make a cabin reservation once bookings open, we will disclose the information reasonably necessary to complete that booking to the applicable carrier or booking agent.

Two third-party services receive limited information automatically when you visit the Site. We use ip-api.com to derive an approximate location from your IP address for survey analytics, and our pages load typography from Google Fonts, which means Google's servers receive your IP address when a page loads. Neither service is used for advertising, and we do not use advertising or tracking pixels.

Where Your Information Is Stored and Processed

Our website is hosted by GoDaddy on servers located in Phoenix, Arizona, United States. Your personal information, including your survey responses, registration details, referral records and Cruise Credit records, is stored and processed in that data centre, outside Canada. Your personal information may therefore be stored, accessed or processed outside Canada. While outside Canada, it may be subject to the laws of the jurisdiction in which it is held, and may be accessible to the courts, law enforcement agencies and national security authorities of that jurisdiction.

We require our service providers by contract to protect your personal information, to use it only for the purposes we specify, and to maintain safeguards comparable to our own.

If you have questions about the collection, use, disclosure or storage of your personal information outside Canada, you may contact our Privacy Officer, [PRIVACY OFFICER NAME AND TITLE], at support@runtheseas.com or Run The Seas Inc., 24 Kingsford Cres., St. Albert, Alberta T8N 7J1, Canada.

Marketing Communications

We will send you commercial electronic messages about Run The Seas™, including concept updates, launch announcements, Founding Runner news, and announcements about future voyages, itineraries and race programmes, only where you have given us your express consent to receive them. Consent to receive marketing is sought separately, is optional, and is not a condition of completing the survey, receiving a Cruise Credit, or participating in the Founding Runner Program or the Draws.

Every marketing message we send will identify Run The Seas Inc., state our mailing address, and include an unsubscribe mechanism that remains valid for at least 60 days after the message is sent. We will give effect to an unsubscribe request within 10 business days.

You may withdraw your consent to marketing at any time. Withdrawing marketing consent will not affect your Founding Runner status, your Cruise Credit, or any entry you hold in a Draw. We will continue to send you messages necessary to administer the programs you have joined, including email verification, issuance of your Cruise Credit Certificate, and notification of Draw results.

How Long We Keep Your Data

We keep personal information only for as long as necessary to fulfil the purposes described in this Privacy Policy, or for such longer period as applicable law requires. Our retention periods are:

  • Survey responses: retained in identifiable form for [24] months from submission, after which they are anonymised and retained in aggregate form only.
  • Founding Runner account, referral and Cruise Credit records: retained until [24] months after the Cruise Credit is redeemed or expires, together with any applicable limitation period.
  • Draw entry records: retained for [12] months following completion of the Draws.
  • Winner records and tax documentation: retained for the period required by applicable tax law, being not less than four years for records relating to IRS Forms W-9 and 1099.
  • Records of marketing consent and unsubscribe requests: retained for the period during which we send you marketing and for [3] years thereafter.

If the Run The Seas™ concept does not proceed to an inaugural voyage, we will review and, where appropriate, delete or anonymize personal information collected through the survey and Founding Runner Program.

Where you ask us to delete your personal information, we will delete it from our live systems promptly. Copies may remain in routine system backups for a short period until those backups are overwritten in the normal cycle, after which they are permanently removed.

Security

We maintain reasonable administrative, technical and physical safeguards to protect your personal information against loss, theft and unauthorised access, disclosure, copying, use or modification. These include encryption of information in transit using industry-standard TLS, access controls restricting internal access to those who require it, and contractual security obligations imposed on our service providers.including concept updates, launch announcements, Founding Runner news, and announcements about future voyages, itineraries and race programmes.

Information of a particularly sensitive nature, including any taxpayer identification information collected from a prize winner, is held with restricted access and retained only for the period required by tax law.

No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Where a breach of our security safeguards involving your personal information creates a real risk of significant harm to you, we will report the breach to the applicable privacy regulator and notify you as soon as feasible, as required by law. We maintain records of breaches of security safeguards involving personal information, whether or not those breaches are reportable.

Your Rights

Subject to applicable Canadian privacy law, you have the right to access the personal information we hold about you, request correction of inaccurate information, request deletion of your information, and withdraw any consent you have given, at any time by contacting us below. Withdrawing your consent to receive marketing messages will not affect your Founding Runner status, your Cruise Credit, or any entry you hold in a Draw.

If, however, you ask us to delete your account information, or withdraw your consent to our holding the identity and email verification information on which the Founding Runner Program depends, we will be unable to verify your continued eligibility, and your Founding Runner status, Cruise Credit and Draw entries will cease. We will inform you of this consequence before acting on any such request.

We will respond to a request within 30 days, or within 45 days where a United States state privacy law applies, and will notify you if an extension is required and why. We may ask you to verify your identity before acting on a request, and information provided for verification will be used for that purpose only. If you are dissatisfied with our response, you may complain to the Office of the Information and Privacy Commissioner of Alberta, the Office of the Privacy Commissioner of Canada, or, if you are a resident of Quebec, the Commission d'accès à l'information du Québec.

Governing Privacy Law

As a company based in Alberta, Canada, our handling of personal information is designed to comply with the Personal Information Protection Act (Alberta) and, where applicable, the federal Personal Information Protection and Electronic Documents Act (Canada) and equivalent provincial legislation for residents of other provinces.

Children's Privacy

This Site is not directed to children. Registration as a Founding Runner, and entry into either Draw, is restricted to individuals who are 18 years of age or the age of majority in their province, territory or state of residence, whichever is greater.

We do not knowingly collect personal information from any child under 13 years of age. If we become aware that we have collected personal information from a child under 13 without verifiable parental consent, we will delete it promptly. If you believe that a child under 13 has provided us with personal information, please contact us so that we may address it.

Certain future Run The Seas™ activities, including the 1K Family Fun Walk/Run, may permit participation by minors. Where a minor participates, a parent or legal guardian must complete the registration, provide any consent required, and remain responsible for the minor's participation.

Region-Specific Disclosures

This Site is intended for visitors across Canada and the United States. In addition to the rights described above, if you reside in one of the jurisdictions below, the following applies to you:

Quebec Residents: In addition to your rights under PIPEDA, Quebec's Act respecting the protection of personal information in the private sector gives you the right to be informed of any decision based exclusively on automated processing of your information, the right to data portability, and the right to file a complaint with the Commission d'accès à l'information du Québec if you believe your rights have not been respected.

British Columbia & Ontario Residents: Your personal information is handled consistently with the Personal Information Protection Act (British Columbia). If you reside in Ontario, or in any other province that has not enacted comprehensive private-sector privacy legislation, PIPEDA governs our handling of your personal information.

California Residents: Run The Seas Inc. does not presently meet the thresholds for application of the California Consumer Privacy Act. We extend the following rights to California residents voluntarily, and not as an acknowledgement that the Act applies to us. You have rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act (CCPA/CPRA), including the right to know what personal information we have collected, the right to request deletion, the right to correct inaccurate information, and the right to opt out of the sale or sharing of personal information. Run The Seas Inc. does not sell or share personal information for cross-context behavioural advertising. We will not discriminate against you for exercising any of these rights.

Residents of Other United States States: A number of United States states have enacted comprehensive consumer privacy legislation. If you reside in such a state, you may have the right to confirm whether we process your personal information, to access it, to correct inaccuracies, to request its deletion, to obtain a portable copy, and to opt out of processing for the purposes of targeted advertising, the sale of personal information, or profiling in furtherance of decisions producing legal or similarly significant effects. We do not sell personal information, do not process personal information for targeted advertising, and do not engage in profiling of that kind. Where the law of your state provides a right to appeal a decision on a privacy request, you may appeal by contacting us and we will respond within 45 days. The specific rights available to you, and the deadlines that apply, depend on your state of residence.

Other Jurisdictions: If you are located outside of the jurisdictions specifically listed above, we will still make reasonable, good-faith efforts to honor privacy rights consistent with the principles in this Privacy Policy.

Information About Individuals You Refer

The Founding Runner Program enables you to invite others to participate using a personal referral link or QR code. When you share your referral link, you are responsible for ensuring that the recipient is content to be contacted by you, and you should share it only with individuals with whom you have a personal or family relationship.

Where an individual you refer completes the survey and verifies their email address, we record that a verified referral has occurred and credit it to your account. We therefore hold a record connecting your account to that individual's participation. We do not disclose your referral's contact details to you, and we do not disclose your identity to them beyond what your own invitation discloses.

Public Display of Participant Information

The Founding Runner Program includes leaderboards, rankings and a Trophy Room. Where you participate, your display name, Founding Runner Number, referral progress and trophy status may be visible to other Founding Runners or to members of the public. You may elect to use a display alias rather than your full name, and you may request at any time that you be removed from public leaderboards. Doing so will not affect your Cruise Credit or any entry you hold in a Draw.

Contest, Prize and Tax Information

If you enter a Draw under the Official Contest Rules, we collect information relating to that entry. Where you request a free entry by mail, we collect the name, mailing address, email address and telephone number contained in your request. A free entry by mail does not require you to be a Founding Runner or to have completed our survey. Where you are not a Founding Runner, we use the information in your request only to administer your entry in the Draw and to contact you if you are selected as a winner, and we retain it only for the period stated in this Policy. Where you are selected as a winner, we collect the information necessary to verify your eligibility and deliver the prize, including your response to the skill-testing question and, for the publicity release described in the Official Contest Rules, your name, Founding Runner Number and general location.

Where a prize awarded to a resident of the United States meets or exceeds the applicable United States reporting threshold, we are required to obtain a completed IRS Form W-9, which contains your taxpayer identification number. We collect this information solely to discharge our tax reporting obligations. We hold it with restricted access, disclose it only to tax authorities and to any professional adviser assisting us with that reporting, and retain it only for the period required by applicable tax law.

Changes to This Privacy Policy

We may update this Privacy Policy from time to time. The date of the most recent update appears at the end of this Policy. Where a change materially affects the manner in which we handle your personal information, we will notify registered Founding Runners by email to the address held on file before the change takes effect. Where a change requires your consent under applicable law, we will seek that consent rather than rely on your continued use of the Site.

Acceptance

By accessing, browsing or using this Site, you agree to be bound by these Terms, together with our Privacy Policy and Cookie Policy.

Where you register as a Founding Runner, complete the survey, or enter a Draw, you will be asked to confirm your acceptance of these Terms before doing so, and your acceptance will be recorded.

We may amend these Terms from time to time. Amendments take effect when posted on this Site, and your continued use of the Site after that date constitutes acceptance of the amended Terms. Where an amendment materially affects your rights under the Founding Runner Program, the $100 Promotional Cruise Credit or the Official Contest Rules, we will give notice by email to registered Founding Runners before the amendment takes effect, and the amendment will not apply retrospectively to a Cruise Credit already issued to you or to an entry you already hold in a Draw.

Concept Website

This Site is intended for market research and concept validation purposes only. Run The Seas™ is an independent concept developed by Run The Seas Inc. to explore a first-of-its-kind luxury cruise experience for runners, walkers, their families, and travel companions. Features, itineraries, pricing, race formats, cruise partnerships, destinations, schedules, rewards, and other program details are preliminary and subject to change. Nothing here constitutes a booking, reservation, or contractual offer. Nothing displayed on this Site, in the survey, in promotional material, in the Captain's Suite, or in preliminary communications constitutes a binding offer, reservation, guarantee of availability, or commitment that any particular sailing, itinerary, race, activity, presenter, amenity, inclusion, price, or benefit will be offered.

Survey Participation

Survey participation is voluntary. Responses help us understand market demand and stakeholder interest. Participation does not guarantee an inaugural voyage or any benefit, and you're responsible for the accuracy of information you provide.

Survey Submissions & Feedback

Any written feedback, suggestions, or ideas you submit through the survey or otherwise ("Feedback") may be used by Run The Seas Inc. to inform the Run The Seas™ concept, marketing, and future development, without obligation or compensation to you. By submitting Feedback, you grant Run The Seas Inc. a perpetual, worldwide, royalty-free, irrevocable, sublicensable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and incorporate that Feedback for these purposes, and you confirm the Feedback is your own and does not infringe any third party's rights.

To the extent permitted by law, you waive any moral rights you may have in the Feedback in favour of Run The Seas Inc. and those authorised by it. Where we publish or quote your Feedback in marketing material in a form that identifies you, we will obtain your consent before doing so.

Founding Runner Program

Founding Runner status is available to those who complete the official survey, provide required information, and verify their email. Eligible participants receive a personalized Founding Runner Cruise Credit Certificate, a Founding Runner Number, a referral QR code and link, and access to the 42.2K Referral Marathon Challenge, Trophy Room and Leaderboards One credit is available per eligible individual. The credit is non-transferable, has no cash value, is redeemable only against the base cruise fare of the inaugural Run The Seas voyage, and expires 24 months from the date of issue. Only one credit may be applied to a cabin reservation; where two Founding Runners share a cabin, the second credit is treated in accordance with Section 17.

This paragraph is a summary only. The complete terms of the $100 Promotional Cruise Credit are set out in Section 17, which governs in the event of any inconsistency with this summary.

Future Event Participation

Registration for or participation in any future Run The Seas™ race, walk, training program, excursion, fitness activity, wellness activity, shore activity, or other organized event may be subject to separate eligibility requirements, event rules, safety requirements, releases, waivers, medical acknowledgements, and participant agreements. Acceptance of these Terms does not replace any separate agreement required for participation in a future event.

Physical Activity, Health & Coaching

Running, walking, exercise, training, and other physical activities involve inherent risks. Information provided by Run The Seas Inc., its coaches, presenters, or this Site is general information and is not medical diagnosis, treatment, or individualized medical advice. Each participant is responsible for determining whether an activity is appropriate for them and for obtaining advice from a qualified health professional where appropriate. Participants should not disregard professional medical advice because of information provided through Run The Seas™.

Training plans, group coaching, educational presentations, and related materials are intended as general guidance. Individual results vary. Run The Seas Inc. does not guarantee that a participant will complete a particular distance, achieve a particular time, avoid injury, improve fitness, lose weight, or obtain any specific health or performance result.

Race, Course, Port & Event Modifications

For safety, weather, sea conditions, port availability, governmental requirements, cruise-line operational requirements, participant welfare, force majeure, or other circumstances reasonably beyond Run The Seas Inc.'s control, Run The Seas Inc. and/or the applicable event operator may change a race or activity's location, course, distance, route, start time, time limit, timing method, capacity, format, or related services, or may postpone or cancel an individual race or activity. Any refund, credit, or substitute benefit will be governed by the applicable booking or event terms and applicable law.

Minors & Family Participation

Registration as a Founding Runner, use of an account on this Site, and entry into a Draw are restricted to individuals who are 18 years of age or the age of majority in their province, territory or state of residence, whichever is greater. A minor may not register a Founding Runner account. Certain Run The Seas™ activities, including the 1K Family Fun Walk/Run, may permit participation by minors and may be subject to minimum ages or other eligibility requirements. Where required, a parent or legal guardian must provide consent, complete required registrations or waivers, and remain responsible for the minor's participation and supervision.

Photography & Recording

Run The Seas™ events and activities may be photographed, filmed, or otherwise recorded. Specific event registration or participant agreements may contain additional notice and consent terms governing the use of a participant's name, image, voice, or likeness. Where consent is required by law, Run The Seas Inc. will obtain it through the applicable registration or release process.

Accounts & Captain's Suite

Users are responsible for maintaining the confidentiality of their account credentials and for activity occurring through their account. Users must not impersonate another person, access another person's account without authorization, manipulate referral or leaderboard data, interfere with website security, submit false information, or use automated means to abuse program features. Run The Seas Inc. may suspend or restrict access where reasonably necessary to investigate fraud, abuse, security concerns, or violations of these Terms. Where access is suspended or a Cruise Credit or Draw entry is affected, we will notify you of the reason and you may ask us to reconsider the decision. Suspension pending investigation does not of itself forfeit a Cruise Credit or Draw entry.

Intellectual Property

Run The Seas™, Captain's Suite™, 42.2K Referral Marathon Challenge™, Half Marathon at Sea™, 5K at Sea™, 1K Family Fun Walk/Run at Sea™, Seven Seas Finisher™, Seven Seas Captain™, Grand Admiral of the Seas™, Founding Runner™, and related names, logos and content are owned by CanMedia Inc. and are used by Run The Seas Inc. under licence.

Run The Seas Is Not the Carrier

Run The Seas Inc. is an independent company exploring and, if the concept proceeds, organizing and marketing a cruise-based event experience. Run The Seas Inc. is not a cruise line, is not the owner or operator of any vessel, and is not the "Carrier" for any voyage. Should an inaugural voyage be confirmed, actual carriage of passengers by sea will be provided by a separate, independent cruise line (the "Carrier"), and will be governed by the Carrier's own booking terms and conditions and conditions of carriage, not by these Terms. Those separate terms will govern matters such as deposits, final payment, cancellation penalties, itinerary changes, fitness to travel, onboard conduct, and the Carrier's limitations of liability for death, injury, illness, or loss or damage to luggage or property. Run The Seas Inc.'s role is limited to organizing the event experience and facilitating the group booking; Run The Seas Inc. is not responsible for the acts, omissions, service standards, safety, or liability of the Carrier or any other third-party supplier (including hotels, airlines, or shore excursion providers), except to the extent expressly stated in these Terms.

Limitation of Liability

The Site is provided "as is" for market research purposes. To the fullest extent permitted by law, Run The Seas Inc. is not liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profit, opportunity or expectation, arising from your use of the Site or your reliance on preliminary program details.

Where Run The Seas Inc. is found liable notwithstanding the foregoing, its aggregate liability to you will not exceed the greater of (a) the amount, if any, actually paid by you to Run The Seas Inc., and (b) CAD $100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any other liability that cannot lawfully be excluded or limited. Nothing in these Terms limits any right you have under mandatory consumer protection legislation applicable in your jurisdiction.

Force Majeure

Run The Seas Inc. is not liable for any failure or delay in performing its obligations, or for any change to or cancellation of the Founding Runner Program, the 42.2K Referral Marathon Challenge, a Draw, a race or activity, or any anticipated voyage, where the failure, delay, change or cancellation results from an event beyond its reasonable control. Such events include acts of God, natural disaster, adverse weather or sea conditions, pandemic or public health emergency, war, civil unrest, terrorism, government or port authority action, labour disruption, failure of communications or utilities, and the failure, insolvency or withdrawal of a third-party supplier, including the Carrier.

Where such an event occurs, Run The Seas Inc. will notify affected participants as soon as reasonably practicable. The consequences for a race, course, port or activity are addressed under "Race, Course, Port & Event Modifications" above; the consequences for the $100 Promotional Cruise Credit are addressed in Section 17; and the consequences for a Draw are addressed in Section 19.

Indemnity

You agree to indemnify Run The Seas Inc. against any loss, claim, liability or reasonable expense arising from your breach of these Terms, your submission of false or misleading information, your manipulation or attempted manipulation of referral, leaderboard or Draw mechanics, your infringement of a third party's rights through Feedback you submit, or your unlawful use of the Site. This indemnity does not apply to the extent the loss or claim arises from Run The Seas Inc.'s own negligence or breach, and does not require you to indemnify Run The Seas Inc. in respect of any liability that cannot lawfully be indemnified against.

Third-Party Links and Content

This Site may contain links to websites operated by third parties, including prospective cruise line, travel and sponsorship partners. Those websites are not under our control. We provide links for convenience only, do not endorse the content of linked sites, and are not responsible for their content, products, services or privacy practices. Your use of a linked site is governed by that site's own terms.

Complaints

Any complaint about this Site, the survey, the Founding Runner Program, or the Cruise Credit should be submitted in writing to support@runtheseas.com. Run The Seas Inc. will acknowledge a complaint within five (5) business days of receipt and will provide a substantive response within ten (10) business days of acknowledgement. Where a complaint requires longer to investigate, we will tell you why and when you can expect a response. Complaints relating to an actual booked voyage, once bookings open, will instead be subject to the Carrier's own complaint process and timelines as set out in the Carrier's booking terms and conditions.

Consumer Protection

Run The Seas Inc. does not currently accept bookings, deposits, or payments for any cruise voyage; this Site is limited to market research and the Founding Runner Program. If and when bookings or payments are accepted, Run The Seas Inc. and/or its authorized travel partners will comply with applicable travel-industry, consumer-protection, and financial-protection requirements. The party accepting a booking or payment, and the regulatory protections applicable to that transaction, will be identified in the applicable booking documentation. Where travel services are sold to residents of a province or state that requires registration or licensing of travel sellers, the booking will be made through a person duly registered or licensed in that jurisdiction.

Errors, Omissions & Changes

Every effort is made to ensure the accuracy of the content on this Site, but errors, omissions, and changes may occur, particularly given the preliminary nature of the concept described under Concept Website above. Run The Seas Inc. reserves the right to correct errors and update Site content at any time without prior notice. It is recommended that you check this Site for the most current information rather than relying on a saved or printed copy.

Variation

No variation of these Terms will be effective unless made in writing and posted on this Site by Run The Seas Inc. No employee, agent, or representative of Run The Seas Inc. has authority to vary these Terms verbally or through informal correspondence. Variation of these Terms does not vary the terms of a $100 Promotional Cruise Credit already issued to you, or the Official Contest Rules as they apply to an entry you already hold, except as permitted under Section 17 or Section 19 respectively.

Language

These Terms are drafted in English. A French-language version of the Official Contest Rules is being prepared and will be made available to residents of Quebec; a copy may be requested at support@runtheseas.com. Where a French-language version of any document on this Site is provided and applicable law requires that the French version govern, the French version will govern. In all other cases, and to the extent permitted by applicable law, the English version will prevail.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

General

Entire agreement. These Terms, together with the Privacy Policy, the Cookie Policy, the terms of the $100 Promotional Cruise Credit in Section 17 and the Official Contest Rules in Sections 19 and 20, constitute the entire agreement between you and Run The Seas Inc. in relation to your use of this Site and your participation in the Founding Runner Program.

No waiver. A failure or delay by Run The Seas Inc. in enforcing any provision of these Terms is not a waiver of that provision or of any other provision.

Assignment. You may not assign or transfer your rights under these Terms. Run The Seas Inc. may assign these Terms to a successor in connection with a corporate reorganisation or the sale of its business, on notice to you.

Notices. Notices to you may be given by email to the address you have provided or by posting on this Site. It is your responsibility to keep your email address current. Notices to Run The Seas Inc. must be sent to support@runtheseas.com or to Run The Seas Inc., 24 Kingsford Cres., St. Albert, Alberta T8N 7J1, Canada.

Survival. The sections headed Survey Submissions & Feedback, Intellectual Property, Limitation of Liability, Indemnity, Governing Law and this General section survive termination of your use of the Site.

Governing Law

These Terms are governed by the laws of the Province of Alberta and applicable laws of Canada, except to the extent mandatory consumer-protection or other laws of a participant's jurisdiction apply and cannot lawfully be excluded. Disputes are subject to the non-exclusive jurisdiction of the courts of Alberta, Canada. Nothing in this section prevents you from bringing proceedings in the courts of your place of residence where the law of that jurisdiction confers a right to do so and that right cannot lawfully be excluded. Residents of Quebec retain the right to bring proceedings before the courts of Quebec.

Matters arising under the Official Contest Rules are governed by the dispute provisions set out in Section 19.

You may use a display alias instead of your name, or ask to be removed from the Leaderboards at any time.

17$100 Promotional Cruise Credit

Overview

This section governs the promotional Founding Runner Cruise Credit referenced on each Founding Runner's personalized certificate. It sets out the complete terms of the credit, in addition to not in place of, the specific details shown on the certificate itself (recipient name, Founding Runner Number, and issue date).

Issuance & Eligibility

The Cruise Credit is issued by Run The Seas Inc. to individuals who have completed the official Run The Seas™ survey, successfully verified their email address, and been issued a Founding Runner Number. It is provided at no cost, as a thank-you for early participation in shaping the Run The Seas™ concept, and does not require a purchase of any kind.

Each Founding Runner is identified by a Founding Runner Number. Each Cruise Credit is evidenced by a certificate bearing a Certificate Number, which is also the reference for the credit itself, the credit and the certificate being a single instrument. Where a certificate is reissued, the reissued certificate replaces and supersedes any earlier certificate, and only the most recently issued certificate is valid for redemption.

Each Cruise Credit carries a status, shown on the certificate. PENDING means the Founding Runner has registered but has not yet confirmed their email address, and the credit is not yet issued or redeemable. APPROVED means the email address has been confirmed and the credit is issued and valid. REDEEMED means the credit has been applied to a booking and is no longer available. VOID means the credit is no longer valid, whether because the certificate has been superseded by a reissued certificate, because the credit has expired, or because the inaugural voyage will not take place. Only a credit with APPROVED status may be redeemed.

Value & Application

The credit may be applied only toward the base cruise fare of a cabin reservation on the first (inaugural) Run The Seas™ voyage. It cannot be applied to taxes, port fees, gratuities, onboard purchases, shore excursions, add-on packages, or any sailing other than the inaugural voyage. The credit has no cash value and cannot be redeemed, exchanged, or converted for cash, credit, or any other product or service. The credit was provided at no cost and no consideration was paid for it. It is not a gift card, gift certificate, stored-value instrument or prepaid product, and the expiry and forfeiture provisions applicable to those products do not apply to it. A Founding Runner who also holds a US $2,000 Cruise Credit awarded as a Draw prize under Section 19 may apply both credits to the same cabin reservation, to a combined maximum of US $2,100 against the base cruise fare.

One Per Person, One Per Cabin

Only one (1) Cruise Credit may be applied per cabin reservation on the inaugural sailing. If two eligible Founding Runners choose to share a cabin, only one credit may be redeemed against that reservation. The second Founding Runner's credit is not forfeited. It remains valid and may be redeemed only toward a cabin reservation on the second Run The Seas™ sailing, if that sailing takes place. It may not in any circumstances be applied to the inaugural voyage, whether against the same cabin reservation or any other. Where a credit is carried forward under this provision, its expiry date is extended to twenty-four (24) months from the date on which the second sailing is announced. If no second sailing is announced, the credit lapses on the same terms as a credit for a voyage that does not take place. This restriction applies to the $100 Promotional Cruise Credit only. It does not limit the application of a US $2,000 Cruise Credit awarded as a Draw prize under Section 19.

How to Redeem

To redeem the credit, the Founding Runner must contact Run The Seas Inc., or its designated booking partner, once cabin bookings open for the inaugural voyage, and provide their Founding Runner Number. The credit is applied as a reduction to the base cruise fare at the time of booking. It cannot be applied retroactively to a reservation that has already been paid in full, and cannot be combined with certain other promotional offers unless expressly stated by Run The Seas Inc.expressly states otherwise. Any restriction on combining the credit with another offer will be published at runtheseas.com/terms before cabin bookings open, and Run The Seas Inc. will not introduce a new restriction of this kind after a Founding Runner has made a reservation.

Non-Transferability

The Cruise Credit is personal to the named Founding Runner shown on the certificate. It is non-transferable and may not be sold, gifted, assigned, or otherwise transferred to another person, cabin, or reservation, except for the shared-cabin provision described above.

Expiration & Discretion

The credit may be redeemed for twenty-four (24) months from the date of issue shown on the Founding Runner's certificate.

If the inaugural voyage has not taken place within that period, the credit will not simply lapse. Run The Seas Inc. will, before the expiry date, either (a) extend the redemption window to a date not less than twelve (12) months after the announced sailing date, or (b) where no inaugural voyage is then reasonably in prospect, replace the credit with a comparable offer of not less than equivalent value.

Run The Seas Inc. may withdraw the credit without replacement only where the Run The Seas™ concept is discontinued and no voyage will proceed. In that event, Run The Seas Inc. will notify affected Founding Runners.

Notice of any extension, replacement or withdrawal under this provision will be given by email to the address on file not less than thirty (30) days before it takes effect.

For the avoidance of doubt, the credit is issued on the condition that the inaugural Run The Seas™ voyage takes place. Where that voyage does not take place, the credit lapses in accordance with this provision, and that that lapse is not a withdrawal of an issued credit for the purposes of the "Right to Modify, Substitute, or Discontinue" provision below.

Void Conditions

The Cruise Credit is void if:the inaugural Run The Seas™ voyage does not take place and no replacement offer is issued in accordance with the "Expiration & Discretion" provision above; the Founding Runner's survey participation or email verification cannot be confirmed after Run The Seas Inc. has contacted the Founding Runner and allowed a reasonable opportunity to respond; or the credit is found to have been obtained through fraudulent, duplicated, or otherwise invalid means, consistent with Section 18 (The 42.2K Referral Marathon Challenge) and the Official Contest Rules.

No Additional Obligation

Run The Seas Inc. is not obligated beyond the express terms stated in this section and on the Founding Runner's Cruise Credit Certificate. No additional value, guarantee, or entitlement is implied by any promotional artwork, virtual map, badge, trophy, or other gamified feature displayed on this website or within the Captain's Suite.

Other Restrictions

Additional restrictions relating to sailing date selection, cabin category availability and minimum cabin fare requirements will be communicated when cabin bookings for the inaugural voyage open. Any such restriction will be published before bookings open and will be applied on a reasonable and non-discriminatory basis. No restriction introduced under this provision will operate to deprive a Founding Runner of the ability to redeem the credit against a cabin at the lowest fare offered on the inaugural voyage.

Issuer & Governing Law

This Cruise Credit and the certificate on which it appears are issued by Run The Seas Inc., 24 Kingsford Cres., St. Albert, Alberta, T8N 7J1, Canada, and are governed by the laws of the Province of Alberta and the applicable laws of Canada, except to the extent that mandatory consumer protection or other laws of the Founding Runner's jurisdiction apply and cannot lawfully be excluded.

No Guarantee of Sailing

Issuance of a Cruise Credit does not represent a booking, reservation, contractual offer, or a guarantee that the inaugural Run The Seas™ voyage, or any Run The Seas™ voyage, will occur on any particular date, itinerary, ship, or at all. Run The Seas Inc. makes no representation as to sailing dates, cabin availability, pricing, or itinerary until such details are formally announced and a reservation is confirmed in writing.

Right to Modify, Substitute, or Discontinue

Run The Seas Inc. may modify, suspend or discontinue the Cruise Credit program in respect of credits not yet issued, including by changing its value, eligibility criteria or redemption process, at any time and without notice.

In respect of a credit already issued to a Founding Runner, Run The Seas Inc. will not reduce the face value of the credit, impose an eligibility requirement the Founding Runner has already satisfied, or shorten the redemption period, except where required by law. Run The Seas Inc. may make changes to the redemption process, and may make other changes that do not materially prejudice the Founding Runner, on notice.

Where a change materially affects an already-issued credit, Run The Seas Inc. will give notice by email to the address on file not less than thirty (30) days before the change takes effect. If a Founding Runner does not accept a material change, they may notify Run The Seas Inc. within that period and the credit will continue on its original terms, or, where that is not possible, Run The Seas Inc. will provide a comparable offer of not less than equivalent value.

Force Majeure

Run The Seas Inc. is not liable for any failure or delay in issuing, honoring, or fulfilling a Cruise Credit, or for any cancellation, postponement, or alteration of the inaugural voyage, resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disaster, pandemic or public health emergency, war, terrorism, government action or regulation, port or itinerary closures, labor disputes, cruise line insolvency or withdrawal, or failure of a third-party partner (including any cruise line, charter consultancy, or booking agent) to perform.

No Warranty

The Cruise Credit and all related materials, artwork, and program descriptions are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Run The Seas Inc. disclaims all warranties, express or implied, regarding the Cruise Credit, including any warranty of merchantability, fitness for a particular purpose, or that the inaugural voyage will occur as described.

Limitation of Liability

To the fullest extent permitted by law, Run The Seas Inc.'s total liability arising out of or relating to the Cruise Credit, in any form, is limited to the face value of the credit itself. In no event will Run The Seas Inc. be liable for any indirect, incidental, consequential, special, or punitive damages, including lost travel plans, lost wages, third-party travel costs, or other losses arising from a Founding Runner's reliance on the Cruise Credit or the anticipated inaugural voyage, even if advised of the possibility of such damages. This limitation applies in addition to, and does not replace, the general Limitation of Liability in Section 2. Nothing in this section excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any other liability that cannot lawfully be excluded, and nothing in this section limits any right a Founding Runner has under mandatory consumer protection legislation applicable in their jurisdiction.

Fraud, Abuse & Audit Rights

Run The Seas Inc. may investigate and, pending investigation, suspend any Cruise Credit it reasonably believes was obtained through fraud, misrepresentation, duplicate or fake accounts, automated means, or any other violation of these Terms & Conditions or the Official Contest Rules. Suspension pending investigation does not of itself void the credit.

Before voiding a credit, Run The Seas Inc. will notify the Founding Runner of the reason, and the Founding Runner may respond and provide information within fourteen (14) days. Where an automated tool has identified the activity, a representative of Run The Seas Inc. will review the matter and take the Founding Runner's response into account before a final decision is made.Run The Seas Inc. may require reasonable proof of identity and eligibility before honoring a credit at the time of redemption, and may audit referral and account activity associated with any Founding Runner Number at its discretion.

Tax Responsibility

Any tax liability arising from the issuance, receipt, or redemption of the Cruise Credit is the sole responsibility of the recipient. Run The Seas Inc. makes no representation as to the tax treatment of the credit in any jurisdiction. Run The Seas Inc. will comply with any reporting obligation imposed on it by law in respect of the credit and will notify the recipient where information is required from them for that purpose.

Currency

Unless otherwise stated, all dollar amounts referenced in connection with the Cruise Credit are in United States dollars (USD). The credit is applied as a reduction of USD $100 against the base cruise fare. Where the fare is quoted in another currency, the reduction will be applied at Run The Seas Inc.'s prevailing rate of exchange on the date of booking, and no top-up or refund arises from a change in exchange rates.

Not a Security or Investment

The Cruise Credit is a promotional courtesy only. It does not constitute a security, deposit, investment, gift card, prepaid product, or store of value, and does not entitle the holder to any equity, revenue share, or other financial interest in Run The Seas Inc. or the inaugural voyage.

Severability & Entire Agreement

If any provision of this section is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force. This section, together with the Founding Runner's certificate and the balance of these Terms & Conditions, constitutes the entire agreement between Run The Seas Inc. and the Founding Runner with respect to the Cruise Credit, superseding any prior or contemporaneous understanding, whether written or oral.

18The 42.2K Referral Marathon Challenge

How the Challenge Works

The 42.2K Referral Marathon Challenge is a free promotional programme open to Founding Runners. Each Founding Runner receives a unique referral QR code and link. Each verified referral advances the Founding Runner one (1) kilometre along a virtual marathon route of 42.2 kilometres, and a Founding Runner who accumulates forty-two (42) verified referrals completes one marathon. The cycle is repeatable.

Verified referrals also earn entries into the Draws described in Section 19. No purchase or payment of any kind is required to take part in the Challenge or to earn entries.

Trophies, badges, rankings, referral distance and other gamified elements of the Challenge shown on this website are virtual recognition only. They have no monetary value and do not represent a purchase, guarantee or entitlement of any kind.

Entries into the Draws described in Section 19 are separate from the trophies, badges and rankings, and are governed by the Official Contest Rules in Sections 19 and 20. Nothing in this Section 18 limits a Founding Runner's rights in respect of an entry earned under those Rules.

A "verified referral" means that the referred individual has completed the survey and successfully verified their email address. Both steps must be completed before the close of the Promotion Period stated in Section 19. A confirmation completed after that time does not create a verified referral or a Draw entry, regardless of when the referral link or QR code was used.

The following do not qualify as verified referrals and will not count toward rankings, distance, milestones or Draw entries: self-referrals; duplicate referrals of the same individual, whether by the same or a different Founding Runner; referrals of accounts created using false, fabricated or another person's identity; referrals generated by automated means; and referrals obtained by payment or other inducement offered by a Founding Runner, unless authorised in writing by Run The Seas Inc.

Where two or more Founding Runners refer the same individual, the referral is credited to the Founding Runner whose link or code the individual used to reach the survey.

Run The Seas Inc. may audit referral activity and may remove fraudulent or invalid referrals and adjust rankings, trophies, milestone status and Draw entries accordingly. Activity that may be treated as invalid includes referrals originating from duplicate IP addresses, referrals showing single-device or shared-device patterns inconsistent with distinct individuals, referrals generated by automated tools or scripts, and survey completions made in a time inconsistent with genuine completion. All ranking, milestone and entry changes are logged and subject to audit.

Where a removal or adjustment reduces a Founding Runner's Draw entries, or removes them from a Draw, Run The Seas Inc. will notify the Founding Runner by email and the Founding Runner may respond and provide information within fourteen (14) days. Where an automated tool has identified the activity, a representative of Run The Seas Inc. will review the matter and take any response into account before a final decision is made. No adjustment will be made to a Draw after that Draw has been conducted, except where required by law.

Map and route artwork is illustrative only and represents virtual game mechanics, not an actual itinerary. Actual cruise itinerary and destinations, if and when confirmed, will be announced separately and are not guaranteed by this artwork.

Kilometres, points, milestones, trophies, rankings, and leaderboard positions are promotional recognition only and have no cash value. Run The Seas Inc. may audit, correct, reverse, or remove referrals, kilometres, rankings, trophies, or rewards where information is inaccurate, duplicated, fraudulent, technically erroneous, or inconsistent with program rules. Run The Seas Inc.'s reasonable determination of programme eligibility and verified results will govern, subject to applicable law and to the review process described above. Nothing in this section limits any right a Founding Runner has under mandatory consumer protection legislation applicable in their jurisdiction, or any right of recourse under the Official Contest Rules in Sections 19 and 20.

If Draw B Receives No Eligible Entries: If no eligible entries are received in Draw B by the close of the Promotion Period, Draw B will not be held, and the prize allocated to Draw B will be awarded as a second prize in Draw A. In that event Draw A will be conducted twice: a first winner will be selected and that winner's remaining entries removed from the pool, and a second winner will then be selected at random from the remaining eligible entries. Two prizes will be awarded in all circumstances.

19Official Contest Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

Promotion Period: Entries may be earned from [START DATE] until [END DATE] at 11:59 p.m. Mountain Time (the "Promotion Period"). Entries earned after the close of the Promotion Period will not be included in the Draws.

Draw Date: Both Draws will be conducted on or about [DRAW DATE], at St. Albert, Alberta, subject to the extension provision below.

Run The Seas Inc. ("Run The Seas" or the "Sponsor") will conduct two (2) draws as part of the Founding Runner Program: the General Founding Runner Draw ("Draw A") and the Marathon Finisher Draw ("Draw B"), together the "Draws". Each Draw is held once only. There are no recurring, monthly or repeated draws.

The Sponsor and administrator of the Draws is Run The Seas Inc., 24 Kingsford Cres., St. Albert, Alberta, T8N 7J1, Canada, telephone 780-920-0186. These Rules are governed by the laws of the Province of Alberta and the applicable laws of Canada, except to the extent that mandatory law of an entrant's jurisdiction applies and cannot lawfully be excluded.

Eligibility: The Draws are open to individuals who, at the time of entry, have completed the official Run The Seas survey, verified their email address, logged into their Captain's Suite as a Founding Runner, are legal residents of Canada or of the fifty United States and the District of Columbia.

Employees, officers, directors, contractors and agents of Run The Seas Inc., and members of their immediate families and households, are not eligible to enter.

The Draws are void where prohibited or restricted by applicable law. Where a Draw is void in an entrant's jurisdiction, that entrant may not enter and any entry recorded is disregarded.

Order of Draws and Winner Exclusion: Draw B (the Marathon Finisher Draw) will be conducted first. The winner of Draw B is then excluded from Draw A, and any entries that winner holds in Draw A are removed before Draw A is conducted, so that the two Draws produce two different winners. All other entrants in Draw B remain eligible for Draw A with their full entry counts.

If Draw B Receives No Eligible Entries: If no eligible entries are received in Draw B by the close of the Promotion Period, Draw B will not be held, and the prize allocated to Draw B will be awarded as a second prize in Draw A. In that event Draw A will be conducted twice: a first winner will be selected and that winner's remaining entries removed from the pool, and a second winner will then be selected at random from the remaining eligible entries. Two prizes will be awarded in all circumstances.

Extension of the Promotion Period and Draw Date: The Draw Date has been set at approximately three (3) months before the announced date of the inaugural Run The Seas voyage. If that voyage date changes, the Sponsor may extend or vary the Promotion Period and the Draw Date so that the Draws continue to fall approximately three months before the announced sailing date.

Notice of any extension or variation will be posted at runtheseas.com/terms and sent by email to registered Founding Runners not less than thirty (30) days before the original Draw Date or the revised Draw Date, whichever is earlier. An extension does not invalidate entries already earned, and all entries earned before an extension remain valid and are carried forward.

Outside Date: Notwithstanding any extension, both Draws will be conducted, and the cash prize awarded to each winner, no later than 31 December 2028, whether or not the inaugural voyage has taken place or been scheduled by that date. Where the Draws are conducted before the inaugural voyage is confirmed, each winner receives the US $500 cash prize, and the Cruise Credit election described below remains available to that winner for twelve (12) months after the inaugural voyage is announced, if it is announced.

General Founding Runner Draw - Entry

Upon logging into their Captain's Suite, each Founding Runner receives a unique QR code and referral link. Entries into the General Founding Runner Draw are earned through verified referrals: each verified referral earns one (1) entry. There is no limit to the number of entries a Founding Runner may earn through verified referrals. "Verified referral" has the meaning given in Section 18.

NO PURCHASE, PAYMENT, OR SURVEY COMPLETION NECESSARY TO ENTER OR WIN.

No purchase or payment of any kind is required to enter or win either Draw. Completing the Run The Seas survey is not required, and making referrals is not required.

Free entry into Draw A. Any eligible individual may obtain entries into Draw A by mailing a request to: Run The Seas, 42.2K Referral Marathon Challenge Draws, [PO BOX ADDRESS]. Each request must be handwritten and must contain the entrant's full name, mailing address, email address and telephone number. Each request must be mailed in its own separate envelope bearing its own sufficient postage. One (1) entry is awarded per request received. There is no limit on the number of requests an entrant may submit. Each mailed entry has the same weight and the same chance of selection as an entry earned by verified referral. Requests must be postmarked no later than [POSTMARK DEADLINE] and received no later than [RECEIPT DEADLINE].

Free entry into Draw B. An entrant may obtain entries into Draw B by the same method, by marking each request "Marathon Finisher Draw". Each set of forty-two (42) separate mailed requests received from the same entrant earns one (1) entry into Draw B, on the same basis as a completed cycle of forty-two verified referrals. The route is repeatable without limit: eighty-four (84) separate mailed requests earn two (2) entries into Draw B, and each further set of forty-two earns one additional entry. There is no requirement that the requests be postmarked on different days.

Status of a mail-in entrant. An individual who enters by mail without completing the survey is an entrant in the Draws only. They do not become a Founding Runner, do not receive a Founding Runner Number, and are not entitled to the $100 Promotional Cruise Credit or to any other benefit of the Founding Runner Program. Entry by mail confers eligibility for the Draws and nothing further.

Mailed requests that are illegible, incomplete, mechanically reproduced, photocopied, computer-generated, or submitted other than in accordance with this provision are void. Requests submitted in bulk, in a single outer envelope, or in a bundled mailing are void.

Odds of Winning: Odds of winning the General Founding Runner Draw depend on the total number of entries held across all eligible Founding Runners at the time of the Draw, that is, the combined total of all verified referrals earned by all participants, not simply the number of people participating. For example, a Founding Runner with 10 verified referrals holds 10 entries; a Founding Runner with 1 verified referral holds 1 entry. As total entries increase, the odds of any individual entry being selected decrease proportionally. Run The Seas Inc. will disclose the total number of entries upon request after the Draw is completed. Because the total number of entries cannot be known until the Promotion Period closes, the odds of winning cannot be stated in advance and depend on the number of eligible entries received. One (1) prize is available in each Draw.

Marathon Finisher Draw - Entry

Draw B is open to Founding Runners who complete The 42.2K Referral Marathon Challenge by reaching forty-two (42) verified referrals during the Promotion Period. Each completed cycle of forty-two (42) verified referrals earns one (1) entry into Draw B. A Founding Runner who completes a second cycle (eighty-four (84) verified referrals in total) earns a second entry, and each further completed cycle earns one additional entry, without limit. Entries into Draw B may also be obtained without referrals, and without completing the survey, in accordance with the "No Purchase, Payment, or Survey Completion Necessary" provision above, on the same repeatable basis.

Verified referrals earning entries into Draw B also earn entries into Draw A. A Founding Runner is not required to choose between the Draws.

Odds of Winning: Odds of winning the Marathon Finisher Draw depend on the total number of entries held by eligible Founding Runners who have completed at least one full marathon at the time of the Draw, calculated on the same proportional basis described above.

Selection, Notification, and Prizes

One (1) winner of each Draw will be selected in a random draw from all eligible entries in that Draw, conducted at St. Albert, Alberta on the Draw Date by a representative of the Sponsor. Draw B is conducted first. The draw process is recorded and subject to audit.

Winners will be notified by email using the address provided at verification, and results will be posted in the winner's Captain's Suite. It is the entrant's responsibility to keep their email address current. Run The Seas Inc. is not responsible for notification failures resulting from incorrect or outdated contact information provided by the entrant, but will make at least three (3) attempts to contact a selected winner over a period of not less than seven (7) days before treating the prize as forfeited.

Each Draw winner will receive a cash prize of US $500, guaranteed. The prize is awarded and payable by Run The Seas Inc. as Sponsor. The Sponsor has secured the funds for both prizes, in the aggregate amount of US $1,000, and those funds are held available for payment of the prizes.

If the inaugural Run The Seas voyage takes place, the winner may instead elect to receive a Run The Seas Cruise Credit of US $2,000 toward a cabin reservation on that voyage, in place of the cash prize. The election is available only if the inaugural voyage occurs, and must be made in writing within thirty (30) days of the Sponsor announcing the sailing date, failing which the winner receives the cash prize.

The US $2,000 Cruise Credit may be applied only toward the base cruise fare of a cabin reservation on the inaugural voyage. It may not be applied to travel to or from the port of embarkation, pre-voyage or post-voyage accommodation, taxes, port fees, gratuities, onboard purchases, shore excursions, travel insurance, travel documents, or any other cost. It has no cash value, is non-transferable, and may not be exchanged or converted for cash.

The US $2,000 Cruise Credit may be redeemed for twenty-four (24) months from the date the winner makes the election. If the inaugural voyage has not taken place within that period, the Sponsor will, before the expiry date, either extend the redemption window to a date not less than twelve (12) months after the announced sailing date, or, where no inaugural voyage is then reasonably in prospect, replace the credit with a comparable offer of not less than equivalent value. The Sponsor may withdraw the credit without replacement only where the Run The Seas concept is discontinued and no voyage will proceed.

A winner who also holds a $100 Promotional Cruise Credit under Section 17 may apply both credits to the same cabin reservation, to a combined maximum of US $2,100 against the base cruise fare. The one-credit-per-cabin restriction in Section 17 applies to the $100 credit only.

The total approximate retail value of all prizes is US $4,000. If the inaugural voyage does not take place, or a winner does not elect the Cruise Credit, that winner receives the US $500 cash prize.

General Conditions: Prizes are non-transferable and must be accepted as awarded. No substitution is permitted except as expressly provided in these Rules, and except that the Sponsor may substitute a prize of equal or greater value where the prize as described becomes unavailable.

The Sponsor may audit entry and referral activity and may disqualify any entry it reasonably believes to be fraudulent, duplicated, or in violation of these Rules. Activity that may be treated as invalid includes entries or referrals originating from duplicate IP addresses, entries or referrals showing single-device or shared-device patterns inconsistent with distinct individuals, entries or referrals generated by automated tools or scripts, and survey completions made in a time inconsistent with genuine completion. Before disqualifying an entrant, the Sponsor will notify them by email and allow fourteen (14) days to respond, and where an automated tool identified the activity a representative of the Sponsor will review the matter before a final decision is made. This paragraph does not apply after a Draw has been conducted, except where required by law.

The Sponsor may amend these Rules where necessary to correct an error, to comply with law, or to address a circumstance not provided for, with changes posted at runtheseas.com/terms. No amendment will reduce the value of a prize, remove an entry already earned, or otherwise materially prejudice an entrant in respect of entries already held, except where required by law. Notice of any material amendment will be given by email to registered Founding Runners.

Skill-Testing Question

Before receiving any prize, each selected winner who is a resident of Canada must correctly answer, unaided and within a limited time, a mathematical skill-testing question consisting of four arithmetic operations without the use of a calculator or other assistance. A selected winner who is a resident of the United States is not required to answer a skill-testing question. For example, a question of this type and difficulty would be presented in the following format: (3 × 4) + 8 − 2 = ? The actual question presented to each winner will use different numbers. If a winner fails to answer correctly within the time allowed, that prize will be forfeited and an alternate winner may be selected in accordance with these rules.

Response Deadline & Alternate Winners

A selected winner must respond to the notification and complete any required verification (including the skill-testing question) within fourteen (14) days of the notification date. A winner who does not respond within this period, cannot be reached after reasonable attempts, does not meet eligibility requirements, or declines the prize will forfeit it, and Run The Seas Inc. may select an alternate winner at random from the remaining eligible entries. Not more than three (3) alternate winners will be selected in respect of any prize. If no eligible winner has been confirmed after the third alternate selection, the prize will be awarded to the last eligible entrant selected who responds, or, failing that, will not be awarded, and the Sponsor will disclose that outcome on request.

Publicity Release

Except where prohibited by law, acceptance of a prize constitutes each winner's consent to Run The Seas Inc.'s use of their name, Founding Runner Number, general location (e.g., city and province or state), and likeness for advertising and promotional purposes related to the Draws, in any media, without additional compensation.

Use of a winner's likeness, photograph, video or voice, and use of a winner's name or image in advertising other than the announcement of results, requires the winner's separate written consent. A winner who is a resident of Quebec may decline publicity of any kind without forfeiting the prize.

Technical Failures

Run The Seas Inc. is not responsible for lost, late, incomplete, corrupted, or misdirected referral submissions or entries, or for any failure of the Site, referral tracking system, email delivery, or internet, server, or hosting infrastructure that may affect a person's ability to earn or verify entries. Where a technical failure is identified that has caused entries to be lost or not recorded, the Sponsor will take reasonable steps to reconstruct the affected entries before conducting the Draw.

Force Majeure

If fraud, technical failure or any other cause beyond the Sponsor's reasonable control impairs the integrity or proper administration of a Draw, the Sponsor may suspend or modify that Draw, acting reasonably and on notice to entrants posted at runtheseas.com/terms.

The Sponsor may cancel a Draw only where it cannot be conducted fairly by any means. Where a Draw is cancelled, the Sponsor will award the prize by random draw from all eligible entries recorded up to the point of cancellation, or, where that is not possible, will award the prize by another random method and disclose the method used. The Sponsor will not cancel a Draw without awarding the prize.

Tax Responsibility

Each winner is solely responsible for any federal, provincial, state, or local taxes, duties, or reporting obligations arising from the receipt of a prize.

The US $500 cash prize is below the US $600 threshold at which the Sponsor would be required to issue an IRS Form 1099-MISC to a United States resident. The US $2,000 Cruise Credit exceeds that threshold, and its value for reporting purposes is its face value of US $2,000. Where a winner who is a United States resident elects the Cruise Credit, the Sponsor will require a completed IRS Form W-9 before the prize is awarded and will issue an IRS Form 1099 as required. Award of the prize may be conditional on receipt of that documentation. Form W-9 information is not collected through this Site and is collected by secure means outside it.

This does not affect a winner's own obligation to report the prize as income, which applies regardless of amount and which each winner should discuss with their own tax adviser. The Sponsor makes no representation as to the tax treatment of the prize in any jurisdiction.

Winner List: The name and general location of each winner will be available on request, free of charge, by writing to Run The Seas, Winner List Request, 24 Kingsford Cres., St. Albert, Alberta, T8N 7J1, Canada, or by email to support@runtheseas.com, for a period of six (6) months following the Draw Date.

Disputes: Except where prohibited by law, any dispute arising out of or relating to the Draws will be resolved individually, and each entrant waives any right to have a dispute determined as a class action or class arbitration, except where the law of an entrant's jurisdiction confers a right that cannot lawfully be waived. All issues concerning the construction, validity and enforceability of these Rules are governed by the laws of the Province of Alberta, and entrants submit to the non-exclusive jurisdiction of the courts of Alberta. Nothing in this provision prevents an entrant from bringing proceedings in the courts of their place of residence where the law of that jurisdiction confers a right to do so and that right cannot lawfully be excluded. Residents of Quebec retain the right to bring proceedings before the courts of Quebec.

Social Media Platform Release

These Draws may be promoted on social media platforms such as Instagram, Facebook, X, LinkedIn, YouTube, and TikTok, but are in no way sponsored, endorsed, administered by, or associated with those platforms or their parent companies. Entrants release those platforms from any liability arising from participation in the Draws.
